TERMS OF SERVICE — PARTNER AGREEMENT
These Terms govern the legal relationship between you as a registered Partner or Agent and LLC Vaperi regarding the use of the Viberest Partners platform and the reselling of eSIM services under our B2B affiliate and white-label model. By registering on the platform, you agree to these legally binding Terms.
Contractual Relationship
These Terms of Service constitute a legally binding B2B agreement between you ('Partner' or 'Agent') and LLC Vaperi, a Limited Liability Company registered in Georgia (Identification Code: 433102484), operating the Viberest Partners platform at p.viberest.com. By accessing and using the platform, you confirm your legal capacity to enter into this agreement and, if registering on behalf of a company, that you have the authority to bind that entity to these Terms.
Partner Dashboard & Brand Tools
2.1. Platform Access and Brand Management
Upon registration, Partners gain access to the Viberest Partners dashboard, which includes tools for creating and managing custom white-label brand pages, uploading brand assets (logos, cover images) stored securely on Amazon S3, adding eSIM products to brand storefronts, and generating shareable brand links and QR codes for distribution to end-users.
2.2. Pricing, Markup, and Commission Structure
Partners set their own retail prices by applying a markup to the wholesale price provided by Viberest. The Partner's profit is the difference between the retail price charged to the end-user and the applicable wholesale cost. Viberest reserves the right to adjust wholesale pricing with reasonable prior notice. Partners are solely responsible for ensuring that their pricing complies with all applicable local laws and regulations.
Payments, Payouts & Financial Security
All payment processing for end-user purchases and Partner payouts is handled via Stripe and PayPal in accordance with PCI-DSS security standards. Viberest does not store credit card or sensitive financial data on its servers. Partner profits accumulate in the platform balance and may be withdrawn to the Partner's designated bank account or payment method, subject to standard processing times determined by the receiving financial institution. Partners are solely responsible for accurately reporting their income and remitting any applicable taxes in their jurisdiction.
Commission & Refund Policy
4.1. Uninstalled (Unactivated) eSIM
If a Partner has purchased an eSIM for a customer but the QR code has never been scanned and the eSIM profile has never been installed on any device, a refund to the Partner's platform balance may be requested within 30 days of the original purchase date. The corresponding commission is reversed upon processing the refund.
4.2. Installed (Consumed) eSIM
Once a QR code has been scanned and the eSIM profile successfully installed on a device, the product is considered delivered and consumed. No refund is issued for installed eSIMs under standard conditions. The Partner's commission for the transaction is finalised upon confirmed installation.
4.3. Technical Failure — Verified Fault
If an eSIM is successfully installed but fails to connect to the local network due to a fault verified by our technical team as attributable solely to the Mobile Network Operator (MNO), and no data has been consumed, Viberest will investigate on a best-efforts basis. If the fault is confirmed, the order cost will be credited to the Partner's platform balance and any associated commission may be reversed. Viberest does not accept liability for connection failures arising from device incompatibility, local carrier restrictions, or regulatory limitations in the destination country.
Partner Obligations & Intellectual Property
5.1. Partner Obligations
Partners must inform their end-users to verify device compatibility before purchasing an eSIM (the device must be carrier-unlocked and eSIM-capable, e.g., iPhone XS or newer, Google Pixel 3 or newer). Partners are responsible for all customer communications, representations made to their customers, and any refund obligations arising from device incompatibility or Partner error. Partners must comply with all applicable laws in their jurisdiction, including consumer protection, data privacy, and financial services regulations.
5.2. Intellectual Property
All intellectual property rights in the Viberest platform, brand, software, and content remain the exclusive property of LLC Vaperi. Partners are granted a limited, non-exclusive, non-transferable licence to use the platform solely for the purpose of reselling eSIM products in accordance with these Terms. Partners may not use the Viberest name, logo, or trademarks in any manner not expressly authorised in writing by LLC Vaperi. Reverse-engineering, copying, scraping, or redistributing the platform or its underlying software is strictly prohibited and may result in immediate account termination and legal action.
Limitation of Liability
LLC Vaperi operates as an intermediary technology platform and shall not be liable for: service interruptions, speed reductions, or coverage limitations caused by local Mobile Network Operators (MNOs) in any destination country; losses arising from the Partner's own pricing decisions, customer disputes, or failure to verify device compatibility; indirect, incidental, special, or consequential damages of any nature, including loss of profit or loss of business. To the maximum extent permitted by applicable law, LLC Vaperi's total aggregate liability to any Partner for any claim arising under or in connection with these Terms shall not exceed the total fees paid by that Partner to Viberest in the three (3) calendar months immediately preceding the event giving rise to the claim.
Governing Law & Dispute Resolution
7.1. Amicable Resolution
In the event of any dispute, both parties shall first attempt to reach an amicable resolution through good-faith negotiation. To initiate a formal complaint, please contact us at support@viberest.com or info@llc-vaperi.de. We aim to respond to all formal complaints within 14 business days of receipt.
7.2. EU Online Dispute Resolution (ODR)
For Partners based in the European Union, the European Commission provides a platform for online dispute resolution available at: https://ec.europa.eu/consumers/odr/. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board, but we support the use of mediation and alternative dispute resolution where appropriate.
7.3. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Georgia. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Tbilisi, Georgia.
